Terms & Conditions

Welcome to CartSense, operated by CartSense LLC ("CartSense," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of the CartSense application, website, and related services (the "Service"). By creating an account, creating or joining an Organization, or otherwise using the Service, you agree to these Terms and to our Privacy Policy.

If you do not agree, please do not use CartSense.

1. What CartSense Is

CartSense is a wellness and meal-planning tool. It generates meal ideas with recipes and nutrition estimates, builds ingredient lists, and lets you turn those lists into a grocery cart through third-party services such as Instacart.

CartSense is offered in two ways:

To individuals, who use it on their own.
Through Organizations — gyms, fitness studios, personal trainers, dietitians, and nutrition coaches — who set up a branded version for their members or clients and may create nutrition plans for them.

CartSense is free for individuals, Organizations, and their members. There are no subscriptions, seats, or fees. See Section 8 for how we make money.

2. Eligibility

To use CartSense you must:

Be at least 13 years old (18 or older to create an Organization)
Provide a valid email address
Not be prohibited from using the Service under applicable law

If you are between 13 and 18, you may only use CartSense with a parent or guardian's consent.

3. Accounts

3.1 Sign-in

CartSense signs you in with a link sent to your email. There is no password. You are responsible for the security of your email account and for everything done through your CartSense account. Tell us right away at the address in Section 16 if you believe your account has been accessed without your permission.

3.2 One account, one Organization

Each person may hold one account. An account may belong to at most one Organization at a time. To move to a different Organization, leave the current one first (Section 5.5) or contact us.

3.3 Suspension

We may suspend or close an account, or suspend an Organization, if:

These Terms are violated
We detect fraud, abuse, automated misuse, or a security risk
Required by law

4. Organizations

4.1 Creating an Organization

Anyone eligible may set up an Organization in the app. By doing so, you confirm that:

You are authorized to act for the gym, practice, or business you name
The name, link, and branding you choose do not infringe anyone else's rights or impersonate anyone
The information you give us is accurate

New Organizations are reviewed before their join link goes live. We may decline or later suspend an Organization at our discretion, including if it appears to be inactive, misrepresented, or used contrary to these Terms.

4.2 The Owner

The person who creates an Organization (or is designated by us) is its Owner. The Owner is responsible for the Organization's use of the Service, for the people they invite as staff, for the branding they upload, and for ensuring members are told what staff can see (Section 5.3).

4.3 Staff (trainers and coaches)

Owners may invite staff. Staff can see the Organization's member list, assign clients, and create nutrition plans. The Owner may remove staff at any time and is responsible for their conduct within the Service.

4.4 Branding license

By uploading a logo, colors, or a name, you grant CartSense a non-exclusive, royalty-free license to display them within the Service and in materials the Service generates for you (for example, your join page, sign-in emails, and share images), for as long as your Organization exists. You confirm you have the rights to grant this license. We will not use your branding to promote CartSense to others without your permission.

4.5 Member caps and fair use

Organizations start with a member limit that we raise on request as they grow. We may also apply reasonable fair-use limits to AI features (Section 7.4). Organizations may not resell access to CartSense, charge members specifically for it, or represent it as their own product; "Powered by CartSense" must remain visible where the Service displays it.

4.6 Not a medical records system

CartSense is a wellness and coaching tool. It is not a medical device, not an electronic health record, and not offered as a HIPAA business associate.

Organizations and their staff agree not to enter diagnoses, medical history, treatment details, or other clinical information about members anywhere in the Service, including plan notes, and to keep any records subject to health-privacy law in their own systems. If you are a licensed professional, you remain solely responsible for your professional obligations to your clients; CartSense does not replace your judgment.

5. Members of Organizations

5.1 Joining

You join an Organization by using its link or QR code, or by accepting an invitation. Joining links your account to that Organization. Sharing a meal with someone never enrolls them in your Organization.

5.2 Nutrition plans

Staff of your Organization may assign a nutrition plan to you (a diet style, daily targets, foods to include, foods to avoid, and a written summary) or set one plan for all members. Meals you generate will follow it. Your own allergies and dislikes always apply as well. You cannot edit a plan assigned to you; talk to the person who set it, or leave the Organization.

5.3 What your Organization can see

Staff of your Organization can see:

Your name and email address
When you joined and when you last used CartSense
The nutrition plans they created for you

They cannot see:

The meals you generate or save
Your shopping lists or what you buy
Allergies, sensitivities, or preferences you set yourself

5.4 Your Organization's branding

While you belong to an Organization, the app, sign-in emails, and pages you share may carry its name, logo, and colors. The Service itself is provided by CartSense, not by your Organization.

5.5 Leaving

You may leave an Organization at any time from your account settings, and an Owner may remove you. Either way, the Organization loses access to your information under Section 5.3 and any assigned plan is removed. You keep your account, saved meals, and lists.

6. Meals, Plans, and AI Content

Meals, recipes, nutrition figures, ingredient lists, plan summaries, and chat responses are generated by artificial intelligence and are provided for general informational purposes.

They may contain errors, omissions, or unexpected ingredients
Nutrition figures are estimates, not laboratory values
Cook times, quantities, and substitutions may need adjustment
A plan's blocked foods are enforced on a best-effort basis; always read the ingredients yourself

If you have an allergy, intolerance, or medical dietary need, you are responsible for checking every ingredient and every product before you cook or buy it.

Do not rely on CartSense for medical, diagnostic, or treatment purposes. Consult a qualified professional for medical or dietary decisions.

7. Using the Service

7.1 License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

7.2 Your content

You keep ownership of what you enter — prompts, preferences, plans, notes, uploads. You grant us a license to store, process, and display that content to operate the Service (including sending relevant parts to our AI provider to generate meals). Public share pages display only the meal you chose to share.

7.3 Prohibited conduct

You agree not to:

Use the Service for anything unlawful or harmful
Scrape, reverse-engineer, or access the Service by automated means other than our published interfaces
Circumvent fair-use limits, member limits, or the Organization approval process
Impersonate a person or organization, or use branding you don't have rights to
Enter clinical or medical-record information (Section 4.6)
Use the Service to harass, discriminate against, or exploit members
Interfere with the Service, other users, or the third-party services we integrate with

7.4 Fair use

AI features are subject to reasonable monthly limits to prevent abuse. Current limits are shown in your account. They are not a paywall; we may adjust them to keep the Service reliable.

8. Free Service and How We Make Money

CartSense does not charge individuals, Organizations, or members. We participate in affiliate programs with grocery services, currently Instacart, and may earn a commission when you shop through links in the app. Links may carry an affiliate identifier and a non-identifying code for your Organization and account so commissions can be attributed. This never changes what you pay.

Where we agree to share commission revenue with an Organization (for example, a creator program), the terms of that arrangement will be set out in a separate written agreement. Nothing in these Terms entitles an Organization to payment.

We may change how the Service is funded, or introduce optional paid features, with notice. We will not start charging for something you already have without telling you first.

9. Grocery Services

9.1 Instacart

CartSense builds your grocery cart on Instacart. When you tap to shop, you leave CartSense and complete your order on Instacart's platform under Instacart's terms. Instacart chooses the products, sets the prices and fees, and handles fulfillment, delivery, returns, and support for your order.

CartSense is not affiliated with Instacart or any retailer beyond the affiliate program described in Section 8.

9.2 Prices are estimates

Any price or cost shown inside CartSense is an estimate and may differ from what a store or Instacart charges. Actual prices, availability, and fees are shown at checkout.

9.3 Other integrations

Where we offer a direct integration with a retailer (for example, adding items to a Kroger cart), your use of it is also subject to that retailer's terms, and we do not control its data, pricing, availability, or cart behavior.

10. Third-Party Providers

We rely on third-party providers to run the Service, including:

OpenAI — to generate meals, read uploaded plans, and power chat. Relevant prompt content is sent to OpenAI to produce results; see the Privacy Policy for what is and isn't sent.
Google Firebase — authentication, database, and security.
Cloudinary — image hosting, including logos and meal images.
Resend — transactional email.

We are not responsible for outages, errors, or changes at these providers.

11. Intellectual Property

The Service — including its software, design, name, logo, and the "Powered by CartSense" mark — belongs to CartSense LLC and its licensors. Except for the licenses expressly granted in these Terms, no rights are transferred to you. Organization branding remains the Organization's property (Section 4.4).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that meals, nutrition figures, ingredient lists, or plans are accurate, complete, safe for you, or suited to any health goal; that the Service will be uninterrupted or error-free; or that any grocery service will have the products, prices, or availability shown.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CARTSENSE LLC AND ITS OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, ANY MEAL OR PLAN GENERATED THROUGH IT, ANY GROCERY ORDER PLACED THROUGH A THIRD PARTY, OR ANY ACT OR OMISSION OF AN ORGANIZATION OR ITS STAFF.

Because the Service is free, our total liability to you for any claim arising from it is limited to one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless CartSense LLC from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, your branding, or — if you operate an Organization — the plans, advice, and conduct of you and your staff toward members.

15. Termination and Changes

You may delete your account at any time from your settings; an Owner may delete their Organization by contacting us. We may suspend or terminate access as described in Section 3.3, or discontinue the Service or any feature with reasonable notice where practical. Sections that by their nature should survive (including 6, 8, 11–14) survive termination.

We may update these Terms. Material changes will be announced in the app or by email, and the "Last Updated" date will change. Continued use after a change means you accept it.

16. Governing Law and Contact

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Nevada, and you consent to their jurisdiction.
